Terms of use

Last updated [DATE] · Effective [DATE]

This is a template; have it reviewed by a Nigerian lawyer before publishing. Bracketed items such as [COMPANY] and [FEE] must be filled in.

These terms explain how KudiVend accounts, wallets and purchases work. Please read them before you create an account.

1. Who we are and what these terms cover

KudiVend is a product of Sample Company Ltd (sample) Ltd, RC RC 0000000 (sample), 1 Sample Street, Lagos (sample) ("KudiVend", "we", "us"). These terms apply to anyone who creates a KudiVend account or buys through the KudiVend web app, including retail customers and resellers. White-label tenants and API clients also accept the White-label agreement or the API agreement, which add to these terms.

Our Privacy notice, Refund policy and Fees page form part of these terms.

2. Your account, OTP and PIN

  • You sign up with a Nigerian phone number or an email address. We confirm it with a one-time code (OTP) sent by SMS or email, to a contact you have verified. We never send OTPs by WhatsApp and we will never ask you for one.
  • You set one 4-digit PIN. It confirms every purchase and every sensitive change. There is no password.
  • Keep your PIN secret. Do not share it with anyone, including people who say they work for KudiVend. Purchases confirmed with your PIN are treated as yours.
  • You must be at least 18 years old and give accurate details. One person may hold one retail account.
  • KudiVend is a web app (PWA) used in your browser. You can see and sign out the browsers on your account under Devices.

3. Identity checks (KYC) and limits

Nigerian rules require us to verify who funds a wallet. Your KYC level sets what you can do:

LevelWhat you provideDaily spendMaximum balance
Tier 0Verified phone or emailCannot fund₦0
Tier 1BVN or NIN and date of birth₦50,000₦300,000
Tier 2Tier 1 plus ID photo, selfie and proof of address dated within 3 months₦200,000₦500,000

If a deposit would take you over your maximum balance, we credit up to the maximum and hold the rest. Held money moves into your wallet as room frees up, for up to 7 days; after that we return it to the sender minus the funding fee.

Money sent from an account in a name that does not match your verified name may be held for review. After your first funding, or funding from a new device, airtime and exam pins are unavailable for 2 hours; data, electricity and cable are not affected.

4. Your wallet is for spending

  • Your KudiVend wallet holds money you have sent to your dedicated account number so you can buy airtime, data, electricity, cable TV and exam pins. It is not a bank account, it earns no interest and you cannot send money from it to other people.
  • You cannot cash out. The only way money leaves your wallet other than purchases is a refund to your own bank account. Tier 2 customers can request this in the app; it goes to a verified bank account in the same name as your KYC record. Customers below tier 2 can ask support for a reviewed refund to the account that funded the wallet, if the sender name matches your KYC name. See the Refund policy.
  • Funding is by bank transfer to your virtual account only. Funding fees are listed on the Fees page.

5. Purchases

  • Prices are shown before you confirm and may change at any time without notice. If a price changes between the moment you see it and the moment you pay, we ask you to confirm the new price.
  • When you confirm, the amount is placed on hold. A pending order is on hold, not spent.
  • Purchases are final once delivered. Check the phone number, meter number, smartcard/IUC or exam details before you confirm. For electricity and cable we show the name on the account before you pay.
  • If an order to the wrong recipient is delivered, it cannot be refunded, because the value has already been delivered to that number or meter.
  • Exam pins are non-refundable once they have been shown to you. We show a pin once; after that we only re-send it to a verified phone or email on your account.
  • If an order fails, the held amount goes back to your wallet automatically. You do not need to open a ticket.
  • Guest checkout: you can buy some products without an account by bank transfer, within the limits shown, for a checkout fee of ₦100. Only pay for an order you started yourself. Refunds go only to the account that sent the money, as set out in the Refund policy. We keep the payer name, paying account, receipt contact, IP address and device id for 5 years from the checkout date (see the Privacy notice).
  • If an order we marked as failed or reversed is later confirmed delivered by the provider, we recover the amount from your wallet (a "clawback"). If your balance is too low, the shortfall shows as an amount owed and is taken from your next funding.

6. Security freezes

After you reset your PIN or sign in from a new device, some actions are paused for 72 hours to protect you if someone else has your phone or email: refunds to bank, adding or changing bank accounts, changing your phone or email, creating API keys, changing webhooks and tenant payouts. You can still fund and buy.

We may also freeze a wallet while we review a bank recall, a suspected fraud report or a mismatch between who sent money and who owns the account.

7. Things you must not do

  • Use KudiVend to fund betting, gambling or lottery accounts, or to buy anything for that purpose.
  • Fund your wallet with money that is not yours, stolen cards or accounts, or the proceeds of fraud.
  • Resell in a way that misleads buyers, for example by claiming to be KudiVend, or abuse promotions, reversals or our systems.
  • Open accounts in other people's names, share accounts, or try to get around KYC limits.
  • Attack, scrape or overload our service, or test it without written permission.

8. Suspension and closing your account

We may restrict or suspend an account, hold its balance while we investigate, or close it, where we reasonably suspect fraud, a breach of these terms, or where the law or a regulator requires it. Where we can, we will tell you why and how to respond.

You can delete your account in Settings when your balance is ₦0.00. If you have money left, request a refund to your bank first. We keep records after closure as described in the Privacy notice.

9. Our responsibility to you

We will process your orders with reasonable care and skill. Mobile networks, electricity distribution companies, cable operators and exam bodies deliver the final value, and outages on their side are outside our control.

To the extent the law allows, we are not responsible for indirect losses such as lost profit, and our total liability for any claim is limited to the value of the order involved. Nothing in these terms limits rights you have under the Federal Competition and Consumer Protection Act 2018 or other law that cannot be excluded.

10. Changes, governing law and disputes

We may update these terms. We will tell you in the app or by email before material changes take effect; continuing to use KudiVend after that means you accept them.

These terms are governed by the laws of the Federal Republic of Nigeria. Please contact us first so we can try to resolve any complaint; if we cannot, you may refer it to the Federal Competition and Consumer Protection Commission or the courts of [STATE], Nigeria.
